1. Introduction
This End User License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and Snhm LLC (“Licensor”) governing the use of the plugin software designed for Grasshopper (“Software”). By installing, accessing, or using the Software, you agree to comply with the terms and conditions of this Agreement. If you do not agree to the terms, you must not install or use the Software.

This Agreement is subject to the laws and regulations of the United Arab Emirates (UAE), including any applicable laws in the Dubai International Financial Centre (DIFC).

2. License Grant
The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to install and use the Software strictly for personal or internal business purposes, as specified in this Agreement. The Licensee may not use the Software for any purpose not expressly permitted in this Agreement.

3. License Restrictions
The Licensee shall not:

• Copy, modify, or distribute the Software.
• Reverse engineer, decompile, or disassemble the Software.
• Sell, sublicense, or transfer the Software to any third party.
• Use the Software in violation of any applicable laws or regulations, including those governing data privacy and intellectual property.

4. Intellectual Property Rights
The Software is the exclusive property of the Licensor. All intellectual property rights, including copyrights, trademarks, and trade secrets, remain with the Licensor. This Agreement does not grant the Licensee any ownership rights to the Software.

5. Updates and Modifications
The Licensor may, at its discretion, provide updates, patches, or modifications to the Software. These updates may be subject to additional terms, which will be communicated to the Licensee at the time of the update.

6. Termination
This Agreement is valid from the moment the Software is installed or used and remains in effect for 12 months. The Licensee may terminate this Agreement at any time by uninstalling the Software and destroying any copies. The Licensor may terminate this Agreement if the Licensee breaches any of its terms. Upon termination, the Licensee must cease all use of the Software and destroy any copies in their possession.

8. Disclaimer of Warranties
The Software is provided “as is” without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Software will be error-free or that its operation will be uninterrupted.

9. Limitation of Liability
To the fullest extent permitted by applicable law, the Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.

10. Compliance with Laws
The Licensee agrees to comply with all applicable laws, including but not limited to UAE Federal Law No. 45 of 2021 on the Protection of Personal Data and any intellectual property laws, when using the Software.

11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, and any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Dubai, including the Dubai International Financial Centre (DIFC), if applicable.

12. Entire Agreement
This Agreement constitutes the entire understanding between the Licensee and the Licensor concerning the Software and supersedes any prior agreements, oral or written, related to the subject matter herein.
